Terms and Conditions

This is an English translation provided for convenience. ConvertAI is a Mexican service and these Terms are issued under Mexican law; in case of any discrepancy, the Spanish version prevails.

These Terms and Conditions (hereinafter the "Terms") govern access to and use of the ConvertAI platform (hereinafter "the Platform", "the Service" or "ConvertAI"). By registering, accessing or using the Platform, you accept these Terms in full. If you do not agree, do not use the Service.

1. Definitions

• "User": any individual or legal entity that registers and uses the Platform.
• "Account": the profile created by the User to access the Platform.
• "Lead": a commercial contact of the User recorded in the Platform.
• "User Content": all information, data, text, messages, settings and material that the User enters, generates or stores in the Platform.
• "AI" or "Artificial Intelligence": the Platform's system for generating messages and automated suggestions.

2. Description of the Service

ConvertAI is a customer relationship management (CRM) platform that integrates artificial intelligence to assist in generating sales messages through WhatsApp. The Platform offers sales pipeline tools, lead follow-up, AI message generation, analytics and communication management.

The Platform is an assistance tool. The AI's suggestions are indicative, and the User is solely responsible for reviewing, editing and deciding which messages to send to their contacts.

3. Registration and Account

• To use the Platform, you must create an Account providing truthful and up-to-date information.
• You must be over 18 years of age.
• You are responsible for maintaining the confidentiality of your access credentials.
• You are responsible for all activity that occurs under your Account.
• You must notify us immediately if you suspect unauthorized access to your Account.
• We reserve the right to suspend or cancel Accounts that violate these Terms.

4. Acceptable use

By using the Platform, you agree to:

• Use the Service solely for legitimate commercial purposes.
• Not send spam, unsolicited messages or unauthorized bulk communications.
• Not use the Platform for illegal, fraudulent or deceptive activities, or activities that violate the rights of third parties.
• Not attempt to access other users' data or the Platform's internal systems.
• Not reverse engineer, decompile, disassemble or attempt to extract the Platform's source code.
• Not resell, sublicense or redistribute access to the Platform without written authorization.
• Not use the Platform to harass, threaten, defame or discriminate against any person.
• Comply with all applicable laws, including those relating to personal data protection, telecommunications and e-commerce.
• Comply with WhatsApp's Terms of Service and those of any other third-party platform you integrate with ConvertAI.

5. WhatsApp integration

ConvertAI facilitates communication through WhatsApp using the User's own session. It is important that you understand the following:

• ConvertAI is not a product, service or affiliate of WhatsApp Inc., Meta Platforms Inc. or any of their subsidiaries.
• WhatsApp is a registered trademark of WhatsApp LLC / Meta Platforms, Inc.
• The User is solely responsible for complying with WhatsApp's Terms of Service.
• ConvertAI is not liable for suspensions, blocks or restrictions that WhatsApp may apply to the User's account for any reason, including but not limited to the use of third-party tools.
• Use of the Platform with WhatsApp is at the User's sole responsibility and risk.
• ConvertAI does not guarantee the availability, continuity or compatibility of the WhatsApp integration, as it depends on third-party services outside our control.

6. Artificial Intelligence

The Platform includes AI features that generate message suggestions, analysis and recommendations. Regarding the AI:

• The AI's suggestions are indicative and do not constitute professional advice of any kind (legal, financial, medical, etc.).
• The AI may generate inaccurate, incomplete or inappropriate content. The User is solely responsible for reviewing all content before sending it.
• ConvertAI is not liable for consequences arising from the use, sending or publication of AI-generated content.
• The AI is trained with the information the User provides about their business. The User warrants that they have the right to share that information.
• AI performance may vary, and no specific sales results are guaranteed.
• ConvertAI reserves the right to update, modify or change the AI models used without prior notice.

7. Plans, payments and billing

• Plan prices are published on the Platform and may change with prior notice. Users on an active annual plan keep the contracted price for their term.
• Charges are made in advance (monthly or annually, depending on the plan).
• The free trial does not require a credit card. When the trial ends, you must subscribe to a plan to continue using the Service.
• Payments are non-refundable, except where required by law.
• We reserve the right to suspend access in case of non-payment.
• AI tokens (credits for message generation) that go unused within the billing period do not roll over to the next period, unless the plan states otherwise.

8. Intellectual property

• The Platform, including its design, code, features, brand, logos and documentation, is the exclusive property of ConvertAI and is protected by applicable intellectual and industrial property laws.
• The User retains ownership of all their User Content.
• By using the Platform, the User grants ConvertAI a limited, non-exclusive and revocable license to process their User Content for the sole purpose of providing the Service (including generating AI suggestions).
• ConvertAI will not use User Content to train general-purpose AI models, nor share it with third parties beyond what is necessary to provide the Service.

9. User Content and responsibility

• The User is solely and exclusively responsible for all User Content, including their leads' information, the messages they send and the data they enter into the Platform.
• The User warrants that they have the necessary rights to use and share the User Content, and that such content does not violate third-party rights.
• The User is responsible for obtaining the necessary consent from their leads and contacts for the processing of their personal data in accordance with applicable law.
• ConvertAI does not proactively monitor or review User Content, but reserves the right to remove content that violates these Terms.

10. Disclaimer of warranties

The Platform is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to:

• Warranties of merchantability, fitness for a particular purpose or non-infringement.
• Warranties that the Service will be uninterrupted, error-free, secure or free of viruses.
• Warranties that the results obtained will be accurate, reliable or meet the User's expectations.
• Warranties that the AI will generate appropriate or effective content, or content that results in sales.
• Warranties of compatibility with WhatsApp or other third-party services.

11. Limitation of liability

To the maximum extent permitted by law:

• ConvertAI shall not be liable for direct, indirect, incidental, special, consequential or punitive damages, including but not limited to: loss of revenue, loss of sales, loss of data, loss of business opportunities, reputational harm or business interruption.
• ConvertAI shall not be liable for the User's actions, omissions or decisions based on the AI's suggestions.
• ConvertAI shall not be liable for the suspension, blocking or restriction of the User's WhatsApp account.
• ConvertAI shall not be liable for failures, interruptions or changes in third-party services (WhatsApp, payment providers, AI providers, etc.).
• In any case, ConvertAI's total liability to the User shall not exceed the amount paid by the User during the last 3 months of service.

12. Indemnification

The User agrees to indemnify, defend and hold harmless ConvertAI, its officers, employees, agents and collaborators against any claim, demand, damage, loss, cost or expense (including attorneys' fees) arising from:

• The User's use of the Platform.
• The User Content.
• The User's breach of these Terms.
• The User's violation of third-party rights.
• Messages sent by the User through the Platform.

13. Cancellation and termination

• The User may cancel their account at any time from the Platform's settings or by sending an email to hola@convertai.net.
• Cancellation takes effect at the end of the current billing period.
• ConvertAI may suspend or cancel the User's account in case of breach of these Terms, with or without prior notice.
• After cancellation, access to the User Content will remain available for download for a period of 30 days. After that period, the data will be deleted.
• The clauses relating to intellectual property, limitation of liability, indemnification and governing law survive termination.

14. Modifications

ConvertAI reserves the right to modify these Terms at any time. Modifications will be published on this page with the date of the last update. Continued use of the Platform after changes are published constitutes acceptance of the modified Terms.

For substantial changes, we will notify registered users by email at least 15 days in advance.

15. Governing law and jurisdiction

These Terms are governed by the laws in force in the United Mexican States. For any dispute arising from them, the parties submit to the jurisdiction of the competent courts of Mexico City, waiving any other jurisdiction that may correspond to them by reason of their present or future domicile.

16. General provisions

• If any provision of these Terms is found invalid or unenforceable, the remaining provisions shall remain in full force and effect.
• ConvertAI's failure to exercise any right does not constitute a waiver of that right.
• These Terms constitute the entire agreement between the User and ConvertAI regarding the use of the Platform.
